Terms of Service

3.1 Eligibility Requirements

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

3.2 Account Creation

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities conducted through your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any conduct we deem harmful to our Services or other users.

5.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to software, text, graphics, logos, images, audio, video, data compilations, and the compilation thereof (collectively, "Company Content"), are the exclusive property of Skyline DevHub and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 License to Use Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services for your internal business purposes. This license does not include any right to resell, redistribute, or create derivative works based on our Services.

5.3 User Content

You retain ownership of any content you submit to our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, and display your User Content solely for the purpose of providing and improving our Services.

You represent and warrant that you own or have the necessary rights to all User Content and that such content does not violate any third-party rights or applicable laws.

5.4 Trademarks

"Skyline DevHub," "TrustGuard AI," and all related logos and service marks are trademarks of Skyline DevHub. You may not use these trademarks without our prior written consent.

6.1 Fees and Charges

Certain Services require payment of fees. All fees are stated in US Dollars (USD) or Euros (EUR) and are non-refundable except as required by law or as expressly stated in these Terms. Enterprise pricing is subject to custom agreements.

6.2 Billing and Invoicing

For subscription-based services, you authorize us to charge your payment method on a recurring basis. We will provide invoices for all charges. You are responsible for providing accurate billing information and promptly updating any changes.

6.3 Late Payments

Failure to pay fees when due may result in suspension or termination of your access to the Services. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6.4 Taxes

All fees are exclusive of applicable taxes (including VAT, GST, and sales taxes). You are responsible for paying all taxes associated with your use of the Services, except for taxes based on our net income.

7.1 Service Level

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access and may perform maintenance, updates, or modifications that temporarily affect availability. We will provide advance notice of scheduled maintenance when possible.

7.2 Technical Support

Support levels vary by service tier. Enterprise clients receive dedicated support channels as specified in their commercial agreements. Standard support is provided via email during business hours (CET timezone).

8.1 Limited Warranty

We warrant that our Services will perform substantially in accordance with our documentation under normal use. This warranty is valid for 90 days from the date of first use for new services.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 8.1, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that the Services will be error-free, secure, or uninterrupted
• Warranties regarding results obtained from using the Services

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account closure feature in your dashboard. Termination does not relieve you of any obligations to pay outstanding fees.

12.2 Termination by Us

We may suspend or terminate your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, fraudulent activity, or prolonged inactivity.

12.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We will delete or anonymize your User Content within 30 days of termination, except where retention is required by law or legitimate business purposes. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. For users in the European Union, mandatory consumer protection laws of your country of residence shall also apply.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or our Services shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first at legal@skylinedevhub.com to resolve disputes informally.
• Mediation: If informal resolution fails, we agree to participate in mediation before resorting to arbitration or litigation.
• Arbitration: For disputes that cannot be resolved through mediation, binding arbitration shall be conducted under the rules of the Estonian Chamber of Commerce and Industry.
• Jurisdiction: If arbitration is not applicable, the courts of Tallinn, Estonia shall have exclusive jurisdiction.

13.3 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Skyline DevHub regarding the Services.

14.2 Amendments

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision shall be null and void.

14.5 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, natural disasters, or government actions.
